Referral and Ambassador Programme Terms
Individual Entrepreneur Rahimov Feruz Furqat o'g'li ("Edly") runs two programmes: Part A - Friend referrals (every user), and Part B - Ambassadors (appointed by Edly).
Part A. Friend referrals
A1. Every user has a personal referral code. When a new user signs up with your code and makes a first paid purchase, you and your friend receive the reward shown at the time (currently: a discount code).
A2. Rewards are credited after the friend's purchase passes the refund window. If the purchase is refunded or charged back, the reward is cancelled.
A3. Self-referral, multiple accounts, fake accounts, paid traffic that misrepresents Edly, spam, or codes posted on coupon sites are prohibited and void the reward.
A4. Rewards have no cash value, cannot be sold or transferred, and expire after 12 months. Edly may change or end the programme for future purchases.
A5. Minors may participate only through a Parent's account.
A6. Referral rewards and codes reduce the price paid; the discount is shared with the Mentor of the Course purchased as described in the licence agreement.
Part B. Ambassadors
B1. Appointment. An ambassador is a person appointed in writing (including electronic form) by Edly's admin, with a unique code and, where applicable, a label (for example "TUIT ambassador"). Appointment is at Edly's discretion and does not create employment, agency or partnership.
B2. Commission. The ambassador receives a commission of 10% of Net Revenue (after Taxes and Payment Fees) on each first paid purchase made by a learner who signed up with the ambassador's code, for 12 months from the learner's registration, unless a different percentage is stated in the ambassador's appointment letter. The commission is paid out of Edly's share. The learner's discount is set per code (the discount shown when the code is applied).
B3. Accrual and payment. Commissions accrue when the purchase passes the refund window and are paid monthly by bank transfer to a verified account, on a monthly statement, with a minimum balance of UZS 50,000. Commission on refunded or charged-back purchases is reversed and may be set off.
B4. Taxes. For individuals who are not registered entrepreneurs, Edly withholds personal income tax and other mandatory deductions at the rates set by law before payment. Ambassadors who are registered businesses are responsible for their own taxes. The ambassador gives accurate tax and payment details.
B5. Rules of promotion. The ambassador must: disclose the relationship ("I'm an Edly ambassador and earn a commission"); use only approved claims and materials; make no guarantee of jobs, income, scores or admission; not target children under 14 or advertise to minors in a way the Law on Advertising prohibits; not send unsolicited messages (spam) or collect people's personal data; not impersonate Edly; not bid on Edly's brand name in paid ads unless approved; comply with the Community Rules and Uzbek law.
B6. Learners' data. The ambassador receives only aggregate or code-level statistics, not personal data of learners, except as Edly's Privacy Policy allows.
B7. Brand use. A limited, revocable licence to use the Edly name and approved assets for the programme only.
B8. Termination. Either side may end the appointment on 14 days' notice. Edly may terminate immediately for breach (B5, fraud, self-dealing, reputational harm). Commissions on purchases that are already eligible are paid; no new commissions accrue after termination.
B9. Liability. The ambassador is liable for their own communications and indemnifies Edly for claims arising from their breach. Edly's liability is limited to unpaid earned commission.
B10. Changes. Edly may change the commission rate for future purchases on 14 days' notice; a rate already accrued does not change.
B11. Law and disputes. Uzbek law; negotiation first; then competent court. Assignment to a Successor entity is allowed on notice, as in the Public Offer, clause 17.
