Paid access to online courses and related digital services on edly.uz
Version 1.1 · Effective 28 October 2026 · Audience: Learners, parents and legal guardians (public)
Language. Consumer information is provided in the state language. This Offer is published in Uzbek (Latin script) as the authoritative text, with Russian and English translations for convenience. In case of conflict the Uzbek text prevails (clause 22.2).
Public Offer Agreement
This document is an official public offer of Rahimov Feruz Furqat o'g'li, an individual entrepreneur (YaTT) registered in the Republic of Uzbekistan, TIN (STIR) 30212931010013, registered address Mevazor 4/11, Kogon district, Bukhara region, Republic of Uzbekistan, contact e-mail info@edly.uz, telephone +998 77 767 43 28 (the "Edly Operator", "Edly", "we"), to any person who wishes to buy access to online courses and related services on the website edly.uz, its sub-domains, and the Edly mobile or web applications and Telegram bot (together, the "Platform").
Acceptance of this Offer in the manner described in clause 3 means that you have concluded a contract with Edly on the terms below (the "Contract").
1. Definitions
1.1Platform – the software, websites, apps, Telegram bot and related services operated by Edly under the Edly brand.
1.2Course – a set of educational video, text, quiz, assignment and other digital materials published on the Platform by Edly or by a Mentor and offered for access against a price or free of charge.
1.3Mentor – an expert approved by Edly who creates a Course and licenses it to Edly for publication under a separate author's licence agreement. Mentors are not employees or agents of Edly and do not conclude contracts on its behalf.
1.4Learner – the person who uses the Course. Buyer – the person who pays. They may be the same person. Where the Learner is a Minor, the Buyer must be a Parent.
1.5Minor – a person under 18 years of age. Parent – a parent or other lawful guardian of a Minor who has linked their Edly account to the Minor's account and given consent under the Parent and Guardian Terms.
1.6Access – the personal, non-exclusive, non-transferable right to view the Course on the Platform for the Access Period.
1.7Access Period – the period, if any, stated on the Course page for that Course. If none is stated, Access continues for as long as the Course remains published on the Platform; Edly does not currently cut off Access after a fixed number of months.
1.8Price – the amount in Uzbek soum (UZS) shown at checkout, including all taxes payable by Edly.
1.9Payment Provider – a licensed payment organisation or payment system operator used for checkout (currently Click and Payme; the available providers are shown at checkout).
1.10Certificate – a certificate of completion issued by Edly under the Certificate Policy. It is not a state diploma, qualification, retraining or professional-licence document.
1.11Terms of Use, Privacy Policy, Cookie Policy, Refund Policy, Community Rules, AI Use Policy, Certificate Policy and Parent and Guardian Terms – the documents published on the Platform and incorporated into this Contract.
2. Subject of the Contract
2.1Edly grants the Buyer and Learner Access to the Course selected and paid for, and provides the related services described on the Course page (for example quizzes, an AI study assistant, assignment feedback, live sessions, a Certificate), on the terms of this Contract.
2.2The Courses are educational (ma'rifiy) information and training services provided within the activity for which the Edly Operator is registered (OKED 85.59.0). They are not formal state education, do not lead to a state-recognised qualification or education document, and are not licensed educational activity under Uzbek law.
2.3No guarantee of outcome. Edly and the Mentors provide knowledge, practice and feedback. Edly does not promise, and nothing on the Platform or in advertising may be read as promising, any particular job, income, client, exam score, grant, university admission, grade or career result. Any figures shown (completion rates, score gains, graduate outcomes) are historical averages for past cohorts, with their sample and period stated, and are not predictions.
2.4Courses are created by Mentors who are responsible for their own content under the licence agreement. Opinions expressed by a Mentor are the Mentor's own. Edly reviews Courses against its Content Standards before publication but does not warrant that every Course is error-free or suitable for every Learner.
2.5Corporate and institutional access. When a company, school or other organisation buys access to Courses for its own employees or students, that access is governed by a separate signed Corporate and Institutional Licence Agreement, not by this Offer. If the organisation's employee or student instead buys a Course individually, with their own payment method, this Offer applies to that purchase in the usual way.
3. Acceptance and conclusion of the Contract
3.1The Buyer accepts this Offer by doing both of the following: (a) ticking the box "I have read and accept the Public Offer" at checkout, and (b) paying the Price. The box is mandatory; payment cannot start without it.
3.2The Contract is concluded on the date Edly receives payment confirmation from the Payment Provider. Edly keeps the payment confirmation, the account and the time of payment as evidence of acceptance; the version of this Offer published at that time applies.
3.3For free Courses and free diagnostics, the Contract is concluded when the user registers or starts the free service and accepts the Terms of Use.
3.4The Buyer confirms that (a) the Buyer is at least 18 years old and has full legal capacity, or (b) the Buyer is a Minor aged 14 to 17 who purchases only through a Parent as the paying Buyer. A Minor does not pay or accept this Offer alone.
3.5Edly may change this Offer. Changes apply to purchases made after publication of the new version. Changes do not reduce rights already acquired for a paid Course. A new version is shown with a date and version number, and earlier versions are kept available on request.
4. Prices and payment
4.1The Price of each Course is shown on its page. Prices are in UZS and include taxes that Edly must pay by law. Edly may change prices at any time; the Price applicable to a purchase is the one displayed at checkout when the Buyer pays.
4.2Payment is made through a Payment Provider. Edly does not receive, see or store bank-card numbers or security codes. Card data is handled only by the Payment Provider under its own terms and security rules.
4.3Edly may offer discounts, founding prices, promo codes, referral rewards and bundles. Unless the offer says otherwise, promotions cannot be combined, have an expiry date, are non-transferable and have no cash value. A discount reduces the Price actually paid and the refund, if any, is calculated on the amount actually paid.
4.4A fiscal receipt (or other document required by tax law) is issued for each payment and is sent to the contact details given at checkout or shown in the Learner's account.
4.5Instalment or deferred-payment options, if offered, are provided by the Payment Provider or a financial organisation under their own terms. Edly is not a lender and is not a party to the credit contract.
4.6If a payment is debited but Access is not provided within 24 hours, the Buyer must write to info@edly.uz with the payment reference. Edly will either grant Access or return the money within the periods in clause 9.
4.7Edly does not operate a stored-value wallet for Learners at the date of this Offer. If a wallet feature is introduced later, it will be governed by separate terms and offered only after any legally required authorisations are obtained.
5. Access and delivery
5.1Access is granted electronically to the Learner's account, normally immediately after payment is confirmed, and in any case within 24 hours.
5.2The service is considered delivered when Access is opened, because digital content is made available at that moment. The Learner may start immediately. The Buyer's refund rights are regulated by clause 9 and by mandatory law, which this Offer does not limit.
5.3Technical requirements: a device with a current browser, a stable internet connection, and for some Courses third-party tools that the Learner pays for separately (for example AI video or design tools). The Course page states the tools and the cheapest plan that completes the Course. Edly is not responsible for the price, availability or terms of third-party tools.
5.4Live sessions and reviews, where included, are held at the times announced on the Platform. If a session is cancelled, Edly will reschedule it or provide a recording. Recordings may be made available in place of attending.
6. Learner's rights and obligations
6.1The Learner may use the Course only for personal, non-commercial learning (or, for a corporate seat, as permitted by the Corporate Licence).
6.2The Learner must not: share login details or allow others to use the account; download, record, screen-capture, copy, resell, publish or re-distribute Course materials; circumvent video protection, device or simultaneous-stream limits; use bots or scrapers; upload unlawful content; or violate the Community Rules.
6.3Course videos are protected by technical measures (encryption, signed links, device and stream limits and abuse detection). Automated abuse signals may temporarily block playback while Edly checks them. The Learner may contact support to dispute a block.
6.4The Learner must provide accurate registration data, including the correct date of birth, and keep the account secure. Edly may require proof of age or parental consent where needed.
6.5Violation of clause 6.2 or 6.6 is a material breach. Edly may suspend or terminate Access without refund for the unused period if the breach is serious or repeated, after notice and a reasonable chance to respond, except where immediate action is necessary to stop unlawful copying or protect others.
6.6Confidentiality of Course content. The Learner must not disclose Course materials (lessons, videos, quizzes and answers, assignments, files, live sessions and recordings) or other non-public information learned through the Platform in Course comments or reviews, chats, messenger groups, social networks, AI services or any other platform, internal or external, as set out in clause 5.4 of the Terms of Use. The Learner may describe in their own words what they learned, give an opinion on the Course and share their Certificate.
7. Edly's rights and obligations
7.1Edly will provide Access with reasonable skill and care, keep the Platform available subject to maintenance and events outside its control, and handle requests as set in the Complaints Procedure.
7.2Edly may update, improve, reorder or correct Course materials, replace tools or examples that have become outdated, and add or remove supplementary features. It will not materially reduce the substance of a Course that a Learner has paid for without offering a reasonable alternative or refund.
7.3Edly may remove or suspend a Course (for example for legal, safety, copyright or quality reasons or on termination of the Mentor's licence). In that case Edly will, at its choice and as applicable: (a) keep Access to the paid Course for the remainder of the Access Period where lawful and practicable; (b) provide an equivalent Course; or (c) refund the unused part of the Price.
7.4Edly may use anonymised and aggregated statistics (not identifying any person) to improve the Platform and to publish outcome reports.
8. Intellectual property
8.1All Course materials, the Platform, the Edly name, logo and brand are protected by copyright, trademark and related rights. Rights in Courses belong to the Mentors or Edly as stated in the licence agreements. Nothing in this Contract transfers any intellectual property to the Learner.
8.2Work created by the Learner in assignments remains the Learner's. The Learner grants Edly a limited, non-exclusive licence to host, display to the Mentor and reviewers, and process it to provide the Course, give feedback and quality-control. Edly will not publish a Learner's work, name or photo in marketing without separate, written consent (a Parent's consent for a Minor), which can be withdrawn for future use.
8.3Using the Platform for AI model training, data mining or building a competing database is prohibited.
8.4After the Access Period ends, or on withdrawal of the Course, Access ends.
9. Refunds, cancellation and withdrawal
9.1The Refund Policy is part of this Contract. In summary: refund of the full Price if requested within 7 calendar days of payment and the Learner has completed no more than 20% of the Course; no refund after that, unless the Course is materially defective, not delivered or not as described, or the law requires otherwise.
9.2Mandatory rights are not limited. Nothing in this Contract excludes or limits the rights a consumer has under the Law on Consumer Rights Protection, the Law on Electronic Commerce or other mandatory law. Where mandatory law gives a longer or better right than the Refund Policy, mandatory law applies.
9.3Refunds are paid to the same payment method, normally within 10 working days after the request is approved, through the Payment Provider. Fees charged by the Payment Provider that the Provider does not return may be deducted only to the extent the law allows and the Refund Policy states.
9.4A refund ends Access and cancels the related Certificate, referral reward and Mentor royalty for that sale.
9.5If Edly cancels a sale for fraud, price error obvious to a reasonable person, or a payment that is later reversed, it will notify the Buyer and refund any amount received.
10. Special rules for Minors and Parents
10.1Learners aged 14 to 17 may use the Platform only with the linked consent of a Parent under the Parent and Guardian Terms. Children under 14 may not hold their own account; a Parent may use a Parent account to browse and pay, and the child may study under the Parent's supervision on the Parent's account where the Course is suitable.
10.2A Minor's purchase is made and paid by a Parent. The Parent is the Buyer and is responsible for the payment and for the Minor's compliance with this Contract.
10.3A Parent may view the Minor's progress and certificates and may withdraw consent. Withdrawal ends the link and may lead to suspension of the Minor's account; it does not itself entitle the Parent to a refund beyond the Refund Policy.
11. Personal data
11.1Edly processes personal data under the Privacy Policy and the Law on Personal Data. By accepting this Offer, the Buyer confirms that they have read the Privacy Policy. Consent to processing for optional purposes (marketing, publication of work, contact for sales follow-up, cookies other than strictly necessary) is requested separately and is not a condition of buying the Course.
12. Artificial-intelligence features
12.1The AI study assistant and AI-generated hints and quizzes are tools that may be wrong or incomplete. Output is not professional, legal, medical, financial or exam-board advice. Learners must check important facts with the Mentor or an authoritative source. Learners should not enter personal, financial or confidential data in AI chats. The AI Use Policy applies.
13. Certificates
13.1A Certificate is issued when the Learner meets the completion rules stated on the Course page. It confirms completion of a private online course only and may be verified through its credential ID at the address printed on it. Edly may revoke a Certificate obtained by fraud or breach of the rules.
14. Warranties and liability
14.1Edly is liable for its own breach of this Contract and for loss that the law makes it liable for, including death or personal injury, fraud, and anything else that cannot be limited by law.
14.2To the extent the law allows, Edly is not liable for: (a) loss of income, profit, opportunity or expected career results; (b) failure to achieve a result described in clause 2.3; (c) indirect or consequential loss; (d) interruptions caused by Payment Providers, telecom operators, third-party tools, cloud providers or internet failures outside Edly's reasonable control; (e) third-party content and links; (f) misuse of the Platform by the Learner.
14.3To the extent permitted by law, Edly's total liability to the Buyer for any claim connected to a Course is limited to the Price paid for that Course.
14.4These limits do not reduce statutory consumer remedies where the law forbids limiting them.
15. Force majeure
15.1Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, war, acts of state authorities, blocking of services by authorities or operators, power or network failure, or failure of a Payment Provider or hosting provider that could not reasonably be avoided. The affected party must notify the other promptly and use reasonable efforts to resume performance. If the event lasts more than 30 days, either party may terminate for the unaffected part and Edly refunds the unused part of the Price.
16. Term and termination
16.1The Contract lasts until the end of the Access Period and performance of obligations. The Learner may stop using the Platform at any time. Termination by the Learner does not by itself oblige Edly to refund beyond the Refund Policy.
16.2Edly may terminate or suspend under clause 6.5, clause 7.3 or where the law requires.
16.3Clauses on intellectual property, personal data, liability and dispute resolution survive termination.
17. Transfer of the Contract to a successor entity
17.1Edly may transfer this Contract, and the rights and obligations under it, to a legal entity that continues the Edly business (for example a limited liability company (MChJ) established by the Edly Operator or its founder), with at least 30 days' notice published on the Platform and sent by e-mail. The successor takes over all obligations, including refunds, Access and personal-data commitments, so the Learner's position is not worsened. If the Learner objects to the transfer for a good reason, the Learner may end the Contract within the notice period and receive a refund of the unused part of the Price.
18. Complaints
18.1Complaints are sent to info@edly.uz or through the in-app form. Edly acknowledges within 2 working days and replies substantively within 10 working days (or the shorter period required by law). The Complaints Procedure applies. The Buyer keeps the right to apply to the consumer-protection authority and to the court.
19. Notices
19.1Notices to the Buyer go to the e-mail, Telegram or in-app inbox linked to the account. Notices to Edly go to info@edly.uz and, for formal notices, to the registered address in the heading. A notice sent electronically is considered received on the next business day unless a bounce shows it failed.
20. Anti-fraud and compliance
20.1Edly may verify identity, refuse or reverse payments it reasonably suspects to be fraudulent, unauthorised or made with stolen cards, and share necessary information with Payment Providers, banks and competent authorities as required by law.
20.2Neither party may use the Contract for any unlawful purpose.
21. Evidence and electronic form
21.1The parties agree that electronic records kept by Edly (acceptance logs, payment confirmations, access logs) and communications through the Platform may be used as evidence. Edly will keep these records for the periods set out in its retention schedule and produce them to the Buyer on request, subject to law.
22. Governing law and disputes
22.1This Contract is governed by the law of the Republic of Uzbekistan.
22.2The Uzbek version of this Offer prevails over translations.
22.3The parties first try to resolve disputes by negotiation and complaint. If unresolved within 30 days, the dispute goes to the competent court of the Republic of Uzbekistan. A consumer may in all cases sue at their place of residence or at another place the law allows.
